Terms of sale and service

These terms apply to services sold by Botler360 Ltd to businesses (travel agencies, tour operators, DMCs). They are not addressed to consumers. Every engagement is covered by a quotation, which prevails over these terms in the event of any difference.
1. Purpose
Botler360 Ltd designs, deploys and operates software and artificial-intelligence agents for travel professionals: a platform producing costings and client proposals, websites, traveller apps, client portals, an automated phone line, plus data hosting and clean-up.
2. Quotation and order
Every engagement starts with a written quotation setting out scope, price, schedule and, where relevant, the data hosting region. Quotations are valid for 30 days. The order is formed by written acceptance.
3. Prices
Prices are in euros and are net of VAT: Botler360 Ltd is not VAT registered in the United Kingdom. For business clients established in the European Union, the reverse-charge mechanism applies where relevant.
Amounts published on this site are starting points ("from") and not fixed packages: the price of an engagement depends on its scope and is stated in the quotation.
4. What we commit to
- Deliver the scope described in the quotation, and tell you promptly if something cannot be met.
- Never let an agent produce a price, rate or availability it did not find in your own data.
- Leave you the owner of your data, and return it in a usable format at the end of the contract.
- Keep the services in working order for the duration of the subscription.
5. What we ask of you
- Provide the information and access we need, and name a point of contact.
- Check documents produced by the agents before they are sent to an end client: an agent assists your team, it does not replace it.
- Pay invoices on the agreed dates.
6. Artificial intelligence โ what you need to know
Our products use language models. They are designed not to invent figures and to trace their sources, but no system of this kind is infallible. Validating a document before it reaches your client remains your responsibility. We document the safeguards in place and the known limits at delivery.
7. Term, renewal, termination
Subscriptions run for the term stated in the quotation, renewable by agreement. Either party may end the agreement at term with 30 days' written notice. In the event of a serious breach not remedied within 30 days of formal notice, the other party may terminate immediately.
8. Ownership
You remain the owner of your data, your brand and your content. Botler360 Ltd remains the owner of its software, document templates and reusable components. Bespoke development you fund is licensed to you for your use, without exclusivity over the generic building blocks it uses.
9. Confidentiality
Each party protects the other's information and does not disclose it. We only name a client as a reference โ name, logo, screenshot โ with their prior written consent.
10. Personal data
Where we process personal data on your behalf, you are the controller and we are your processor: a data processing agreement (Article 28 GDPR) is annexed to the contract. See also our privacy policy.
11. Liability
Our liability is limited to direct damage and capped at the amounts paid for the relevant service over the 12 months preceding the triggering event. We are not liable for indirect damage, for the consequences of incorrect information you supplied, or for outages attributable to a third-party infrastructure provider.
12. Governing law and disputes
These terms are governed by the law of Angleterre & Pays de Galles. In the event of a dispute the parties will first seek an amicable solution. Failing that, the courts of Angleterre & Pays de Galles have jurisdiction.
